Draft US Master Service Agreement

I’m looking for a paralegal who knows U.S. contract law inside and out to create a brand-new Master Service Agreement that will govern my professional and consulting services engagements. Because this has to be drafted from scratch, I need someone who can structure the entire document, build in strong payment terms with late-payment protections, spell out clear confidentiality and ownership of work provisions, and set balanced limits on liability as well as practical termination language. I own an umbrella company that provides services and owns the brand name and have various subsidiaries with various owners within the civil engineering industry and need to protect the brand and assure they use the umbrella companys services exclusively. I also need to create buy sell trade agreements and operating agreements for each subsidiary. You’ll be starting from a clean slate, so I’ll rely on you to identify any additional clauses that are customary for this kind of professional services relationship and to flag state-specific issues that might apply once I tell you where the work will be performed. Plain-English drafting is a must, but the agreement still has to stand up to legal scrutiny if ever challenged.
