Delaware Legal Opinion Review

Can you briefly describe the nature of the legal work? We are working with outside counsel to prepare a legal opinion letter addressing a Delaware corporation's ability to continue operating without restriction, along with related compliance considerations. Because the opinion touches on matters of Delaware corporate law, we are looking for Delaware-admitted counsel to review the Delaware-law portions of the opinion and either co-sign the letter or issue a short supporting opinion that the primary letter can reference. We anticipate this being a discrete, bounded engagement rather than an ongoing one, though we're open to continuing to work together if it makes sense. Does this work have any time-sensitive deadlines? We'd like to receive proposals within 24 to 48 hours. Once you receive the draft legal opinion letter from the primary attorney, we'd like the review completed within 3 to 4 business days. What are your primary goals in working with a lawyer? Clear communication with the primary attorney, a straightforward read on whether the letter's Delaware-law holding is well-supported, and a fee structure/scope we can plan around. Have you worked with another lawyer on this work? Yes, we are separately engaging an attorney to draft the primary opinion letter. This role is specifically to cover the Delaware-law component alongside them. What we're looking for: Active admission to the Delaware bar Experience with Delaware corporate opinion letters — happy to see examples of prior opinion work if available Comfort coordinating directly with another firm's attorney on a shared work product, rather than working in isolation Clear proposal on how you'd structure your role: full co-signature on the letter, or a separate companion/local-counsel opinion that the primary letter incorporates by reference Included in fee (please specify in your proposal): Review of the Delaware-law sections of the draft opinion letter Either co-signing the final opinion letter or issuing a short companion opinion, as appropriate Direct coordination with the primary drafting attorney Budget: We're targeting $500 or less for the full scope of this engagement, though we're open to reasonably priced proposals above that depending on complexity.
