عن الوظيفة

Job Title IP Lawyer / Legal Expert Wanted: Software Copyright, EULA/ToS Drafting, and Trademark Strategy for Financial SaaS Tool (India) Job Description I am looking for an experienced Intellectual Property (IP) Attorney or Legal Consultant in India to build a comprehensive legal moat around a proprietary financial SaaS tool that I have developed independently. I operate under a lean business structure where I personally own the software IP and lease it to my corporate entity (LLP). I need an expert to handle our immediate copyright, contractual, and structural legal setups to ensure maximum protection against copycats and institutional/exchange liabilities (e.g., NSE/SEBI compliance domains). Current Status: • The SaaS tool is fully developed. • I have already personally applied for the trademark for the word mark under Class 42 and Class 9. Scope of Work & Key Deliverables 1. Software Copyright Filing • Prepare and format the source code extracts, object code, and UI design document in strict accordance with Rule 70 of the Indian Copyright Rules. • File the software copyright application under the Indian Copyright Office in my individual name. 2. Airtight Contract & EULA Drafting • Terms of Service (ToS) & End-User License Agreement (EULA): Draft a customized SaaS user agreement containing robust No-Reverse Engineering, No-Scraping / No-Data Mining, and absolute IP Retention clauses to stop copycats. • Personal-to-LLP Software License Agreement: Refine and formalize a licensing contract between me (as an individual) and my LLP. This must include an aggressive "Automatic Termination/Escape Hatch" clause to immediately detach the software from the LLP in the event of an institutional exchange dispute or regulatory freeze. • Developer/Freelancer IP Assignment Deed & NDA: Draft a bulletproof framework template ensuring any third-party developer I hire automatically assigns 100% of their coding/design IP to me from day one. 3. Trademark Advisory • Review the existing application under Class 9 and 42 to ensure no structural vulnerabilities or easy grounds for oppositions. Required Qualifications • Proven track record in Indian Intellectual Property (IP) law, specifically handling Software/SaaS Copyrights and tech contracts. • Deep understanding of the Indian corporate ecosystem (LLPs, corporate liabilities, and asset protection mechanics). • Experience dealing with financial tech, algorithmic tools, or market intermediary compliance (SEBI/Exchanges) is a massive plus. • Absolute clarity in drafting—no generic internet templates. We need custom, enforceable clauses. Mandatory Application Requirements (Read Carefully Before Bidding) To be considered for this project, you must explicitly provide the following in your proposal. Generic, copy-pasted proposals or placeholder bids will be rejected immediately without review. 1. Detailed Cost Breakdown: Provide an actual, firm cost breakdown (Govt fees vs. your professional charges) for each milestone: • Milestone 1: Software Copyright Filing Setup • Milestone 2: SaaS ToS / EULA Drafting • Milestone 3: Personal-to-LLP License Agreement + Freelancer IP Assignment Deed 2. Relevant Experience: Share a 2-3 sentence summary of similar software IP or tech contract projects you have executed under Indian law. 3. Strict Policy on Generic Content: If your proposal contains generic AI filler, copy-paste templates, or placeholder pricing that changes later, we will not engage, and no payment terms will be discussed. Provide real, fixed terms up front. • 4. GUI & Data Presentation Protection Strategy: • Evaluate the SaaS platform's dashboard layout and unique data presentation methods for Graphical User Interface (GUI) registration under the Indian Designs Act, 2000 (Class 14-04). • The drafted Terms of Service (ToS) / EULA must include highly specific, enforceable "Look and Feel" and "Proprietary Data Presentation Layout" clauses to legally stop competitors from mimicking the unique way our data is visually structured and sequenced.
